Goldman Sachs has agreed to buy LCN Capital Partners, a commercial real estate investment manager, in a deal valued at up to $410 million. The purchase will fold LCN's $3 billion portfolio into Goldman's asset management division.
The price and the payouts
Goldman will pay roughly $260 million upfront. Another $150 million could follow, though that portion is tied to performance targets. The structure gives LCN's owners a chance to earn more if the business hits certain metrics, while protecting Goldman if it doesn't.
What LCN brings
LCN manages $3 billion in commercial real estate assets. That includes debt and equity investments across the property sector. For Goldman, the acquisition adds a specialized team and an established platform in a corner of the market where scale matters.
Where it fits
The deal lands LCN inside Goldman's asset management arm, which oversees money for institutions and wealthy clients. It's a move that strengthens Goldman's real estate capabilities without building from scratch. The firm has been expanding its alternative investments, and this purchase gives it a ready-made operation.
The transaction is expected to close later this year, assuming regulatory and other approvals go through. What remains to be seen is how the $150 million performance payout will be earned — and whether LCN's returns justify the extra cost.
