The firm submitted Amendment No. 7 to its Form S-4 registration statement with the U.S. Securities and Exchange Commission. The filing signals that the company is working through the regulator's review process.
What the seventh amendment signals
Form S-4 is the SEC document companies use when they want to register securities for a business combination or an exchange offer. In this case, it's the vehicle Evernorth is using to get its shares on a public exchange. An amendment count this high typically means the SEC has been sending back comments, and the company is addressing them one by one.
Each revision can bring updated financials, sharper risk disclosures, or changes to the corporate structure. The fact that Evernorth has come back with a seventh version suggests the two sides are still talking, not stalled. It's a slow process, but it's progress.
The Ripple treasury connection
Evernorth is not a typical crypto startup. It describes itself as a Ripple-backed XRP treasury company, meaning it holds XRP as part of its corporate treasury operations. Ripple, the payments company behind the XRP token, is a backer. That gives the listing a dual audience — traditional finance will watch how a crypto-related treasury plays on a major exchange, while crypto investors will look for a new publicly traded vehicle with XRP exposure.
What's left before the listing
Getting a Nasdaq listing takes more than a SEC filing. After the SEC declares the registration statement effective, Evernorth would still need to meet the exchange's own listing requirements — share price, shareholder equity, corporate governance rules, and the like. The timeline for that is unclear.
The SEC has no set deadline to respond to Amendment No. 7. The company hasn't given a public target date for its trading debut. But the repeated filings show that Evernorth is committed to completing the review. The next concrete sign will come when the SEC either asks for more changes or lets the registration go effective.
