Circle Internet Group (NYSE: CRCL) has received a limited-purpose trust charter from the New York Department of Financial Services for its subsidiary, Circle Internet Trust Company LLC — also known as Circle New York Trust. The charter, announced July 31, 2026, finalizes a dual regulatory structure that pairs state-level oversight of USDC issuance with federal supervision.

What the charter covers

The NYDFS trust charter allows Circle New York Trust to operate as a limited-purpose trust company under New York law. That means the entity can hold customer funds and issue USDC tokens under state oversight, while Circle Internet Group remains subject to federal regulation. The arrangement creates a two-tier framework: state examiners will monitor the trust's day-to-day operations and reserves, while federal authorities oversee the parent company's broader activities.

Why the dual structure matters

Stablecoin issuers have long faced a patchwork of state and federal rules. By securing a NYDFS charter, Circle brings USDC issuance under the same regulator that oversees New York's major banks and trust companies. The move also gives the company a clear jurisdictional home for its stablecoin operations, potentially reducing compliance conflicts. The NYDFS has been one of the most active state regulators in the digital-asset space, granting charters to firms like Paxos and Gemini in previous years.
