CoinShares has filed a notice with the US Securities and Exchange Commission for a virtual extraordinary general meeting on Sept. 15. Shareholders will vote on a proposed buyback of up to 25% of issued ordinary shares, along with related treasury and equity plan resolutions. The filing, dated Aug. 24, lists 131,780,209 shares in issue and no shares in treasury at that time.
Buyback authority and price range
Resolution 1 seeks authority to repurchase up to 25% of issued ordinary shares, excluding treasury stock. The purchase price range is set at $0.01 to $20 per share. CoinShares notes it does not currently intend to use the full buyback authority; any purchases would depend on market conditions, its financial position, and available investment opportunities.
Treasury shares and dilution
Resolution 2 would initially place repurchased shares in treasury rather than cancel them. That allows for later resale, transfer under an employee share plan, or cancellation. The company acknowledges that keeping shares in treasury limits anti-dilution protection; the actual benefit depends on how many shares are bought and whether they are cancelled or used for employee awards.
Equity plan and tax rules
Resolution 3 asks shareholders to adopt the complete 2026 Equity Incentive Plan. Shareholders previously approved the size of the equity-plan reserve, not the plan itself. The reserve starts at 11% of outstanding shares plus unused shares from the prior plan, and could increase by up to 3% annually in 2027, 2028, and 2029. The plan instrument is designed to meet US tax requirements for incentive stock options. Resolution 4 concerns French tax-qualified award authority, which counts within the initial share pool.
Voting thresholds and eligibility
Resolutions 1 through 3 are ordinary resolutions, needing a simple majority. Resolution 4 requires at least a 67% majority. The filing also contains an internal inconsistency: Resolution 1 is labeled as 'Special' in a bracketed note but is classified as an ordinary resolution. Only shareholders registered at 5:30 p.m. Jersey time on Aug. 27 are eligible to attend, speak, and vote. The virtual meeting begins at 4:00 p.m. Jersey time on Sept. 15.
