Sphere 3D Amends At-the-Market Stock Sale, Eyes Up to $10.3M

Bitcoin miner Sphere 3D has amended its at-the-market stock-sale facility, giving it up to $10.3 million of additional capacity to raise working capital. The new prospectus, filed this week, replaces the prior ATM and could add roughly 4.38 million common shares if fully used at the assumed $2.35 per share — a potential dilution of about 51% from the current share count of 8.62 million.

Dilution risk and cash needs

Existing shareholders could see their stake cut in half if the full facility is tapped. Sphere 3D sold 2.17 million shares under the previous prospectus through July 30, generating $5.13 million in gross proceeds. The new authorization doesn't require agents to sell any minimum amount, so actual dilution depends on market conditions and the company's cash needs.

Sphere 3D's policy permits selling mined Bitcoin for working capital or growth. During the quarter ended March 31, it generated $2.79 million from Bitcoin sales. As of that date, the company held $3.15 million in cash and 26.2 BTC valued at $1.79 million on its balance sheet. Those reserves are modest relative to the potential $10.3 million raise, suggesting the company may need to tap the ATM soon.

Going-concern warnings persist

Sphere 3D's 2025 audit included a going-concern explanatory paragraph — a red flag that signals substantial doubt about its ability to continue operating. The same issue appeared in the audit of Cathedra, which Sphere 3D merged with. Cathedra's March 31 interim accounts showed a C$4.35 million working-capital deficiency and C$1.17 million of net cash used in operating activities during the quarter. The combined going-concern notes underscore the financial strain both companies face.

No sales disclosed yet

As of an Aug. 3 check, no subsequent company filing had disclosed any sales under the amended facility. That means the new ATM hasn't been tapped yet, but the authorization is in place. The timing of any sales will depend on Sphere 3D's cash burn rate and Bitcoin price movements. If the company starts selling shares, it will need to file a Form 8-K or similar disclosure — that filing will be the next concrete signal for investors watching how quickly dilution arrives.
