Evernorth has filed an amended SEC Form S-4 for its planned Nasdaq listing under the ticker XRPN, the company disclosed this week. The filing formalizes employment agreements for three senior executives and lays out a strategy to build a $1 billion XRP treasury — roughly 473 million tokens, or about 0.8% of XRP's circulating supply.
Executive compensation details
The S-4 filing reveals equity awards for Evernorth's top leadership, pending shareholder approval. Chief legal officer Jessica Jonas would receive an initial equity award worth about $4.5 million. Chief business officer Sagar Shah and chief operating officer Meg Nakamura would each get roughly $2.8 million. CEO Asheesh Birla's equity award remains valued at about $44 million, unchanged from earlier disclosures.
XRP price and the treasury math
XRP is trading around $1.06, well below Evernorth's implied cost basis of about $2.44 for its planned treasury. That gap means the company would need a significant price rally to hit its $1 billion target at current token prices. Immediate support for XRP sits near $1.00; a break below could expose the $0.85 to $0.90 area. On the upside, reclaiming $1.10 would improve momentum, with $1.14 to $1.15 as next resistance.
